Confidentiality Agreement (Non-disclosure agreement (NDA))

This is a standard confidentiality agreement (also often referred to as non-disclosure agreement or NDA). It can be used and adjusted for any type of transaction in which parties might provide each other with confidential information which needs to be protection against disclosure to third parties not involved in the transaction. It is drafted in such way that both parties can provide confidential information to each other. However it can easily be adjusted to a situation where only one of the parties discloses information to another (which only receives the information).
